Terms of Service

1. Agreement to terms

Akraeus is operated by Juneja Inc., doing business as Akraeus (“Juneja Inc.,” “Akraeus,” “we,” “us,” or “our”). By accessing or using the Akraeus website, application, or related services (collectively, the “Service”), you agree to these Terms of Service. If you use the Service on behalf of an organization, you agree to these Terms on its behalf and represent that you have authority to do so. If you do not agree, do not use the Service.

2. What Akraeus does

Akraeus provides an artificial intelligence-powered software tool that allows you to upload documents and query them to receive plain-language summaries, answers, and citations linked to the original source text. Our service is designed to help you process and organize information more efficiently.

3. IMPORTANT: Not professional advice

Akraeus is an AI software tool, not a professional advisor. We are not a law firm, medical provider, accounting firm, or financial advisor. The Service provides general information and analysis based solely on the documents you upload.

Because AI systems can make errors or omit important nuance, the output generated by Akraeus should never substitute for the advice of a qualified legal, medical, or financial professional. You assume all risk and liability for any decisions you make based on the output of the Service.

4. Eligibility, accounts, and security

You must be at least 18 years old and legally able to enter into a contract to use the Service. To use certain features, you must register for an account. You are responsible for maintaining the confidentiality of your account credentials and for activity under your account. You must notify us promptly of unauthorized use or a suspected security breach.

5. Acceptable use

When using Akraeus, you agree that you will not:

  • Upload documents that you do not have the legal right or necessary consents to possess, process, or share.
  • Upload classified government information or data that requires regulatory safeguards the Service is not expressly offered to provide.
  • Use the Service to provide emergency services or make decisions that legally require human review.
  • Use the Service to violate any applicable local, state, national, or international law.
  • Attempt to reverse-engineer, scrape, copy, or bypass the security mechanisms of the Service.
  • Access or monitor the Service to conduct competitive benchmarking, copy features, or build a competing product or service.
  • Resell, sublicense, or redistribute access to Akraeus without our prior written consent.

6. Billing, subscriptions, and credits

Starter Packs & Top-ups: One-time purchases, including the Starter plan and page or question top-ups, are billed immediately. Unused credits do not expire while your account continues to exist and the Service remains available. Credits are forfeited if you delete your account or if we permanently terminate it in accordance with these Terms. Credits have no cash value and, except where required by law, are non-refundable and non-transferable.

Subscriptions: Paid recurring plans (Plus, Pro, and Team) are billed automatically at the start of each billing cycle. You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to the paid features until the end of your current billing period.

Refunds: All fees paid are non-refundable, except where legally required. If you believe you have been billed in error, please contact us at support@akraeus.com within 14 days of the charge.

7. Ownership, intellectual property, and feedback

Your Content: You retain all ownership rights to the documents you upload and the output generated from your queries. You grant us a limited, worldwide, non-exclusive license to host, process, and store your documents solely for the purpose of operating and providing the Service to you.

Our Service: We retain all right, title, and interest in and to Akraeus, including its software, AI integrations, design, and branding. You are granted a limited, non-exclusive right to use the Service subject to these Terms.

Feedback: If you send us suggestions, feature requests, comments, or ideas regarding the Service (“Feedback”), you grant Juneja Inc. an irrevocable, royalty-free, perpetual, worldwide license to use, implement, and incorporate your Feedback into our products and services without any obligation or compensation to you.

8. Third-party services

The Service relies on third-party providers for functions such as hosting, artificial intelligence processing, authentication, and payments. Your use of third-party services may also be governed by their terms. We are not responsible for third-party services that we do not control.

9. Termination and discontinuation of service

Termination by You: You may stop using the Service at any time.

Termination by Us: We reserve the right to suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach these Terms of Service or engage in conduct that harms the Service or other users.

Discontinuation of Service: We are constantly iterating and improving, but we also reserve the right to modify, suspend, or permanently discontinue the Service (or any part of it) at any time. If we permanently shut down the Service, we will make reasonable commercial efforts to notify you in advance so you can export your documents. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuation of the Service. Any unused “Starter” or “Top-up” credits hold no cash value and are not refundable upon discontinuation.

10. Indemnification

You agree to defend, indemnify, and hold harmless Juneja Inc., its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of or access to the Service; (b) any Customer Content or documents you upload; or (c) your breach of these Terms or violation of applicable laws or third-party rights.

11. Disclaimers and limitation of liability

AKRAEUS IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE OUTPUT WILL BE ERROR-FREE OR COMPLETELY ACCURATE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL JUNEJA INC. OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Time Limit on Claims: To the extent allowed by law, any claim or cause of action arising out of or relating to your use of the Service or these Terms must be brought within one (1) year after such claim arose, or it will be permanently barred.

12. Dispute resolution: Binding arbitration and class action waiver

Please read this section carefully. It requires you and Juneja Inc. to resolve disputes through individual binding arbitration rather than jury trials or class actions.

Informal Resolution First: Before filing a formal claim, you and Juneja Inc. agree to make a good-faith effort to resolve any dispute informally. You can initiate this by contacting compliance@akraeus.com. If the dispute is not resolved within thirty (30) days, either party may commence formal arbitration proceedings.

Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or the Service that cannot be resolved informally will be settled by binding arbitration in accordance with the Consumer or Commercial Arbitration Rules of the American Arbitration Association (AAA). The arbitration will be conducted in the State of Texas or virtually if mutually agreed.

Class Action Waiver: You and Juneja Inc. agree that any arbitration or proceeding will be conducted solely on an individual basis and not as a class action, collective action, consolidated lawsuit, or representative action. You expressly waive the right to initiate or participate in a class action against Juneja Inc.

13. Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. For any disputes not subject to arbitration, you and Juneja Inc. consent to the exclusive jurisdiction of the state and federal courts located in the State of Texas.

14. Changes to these Terms

We may modify these Terms at any time. If we make material changes, we will notify you by email or through the Service. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

15. Contact information

If you have any questions or legal inquiries regarding these Terms, contact Juneja Inc. at compliance@akraeus.com.
